Article 1 - Who are we?

UNXPECTED is a brand of Unxpected SAS, a company founded by Jérôme BRUGNAGO, which offers products and services related to sports and vintage cars.

Article 2 - Purpose

The present general terms and conditions of sale (hereinafter the "GTC") apply, without restriction or reservation, to all sales concluded by Unxpected with professional or non-professional customers (hereinafter the "Customer") on the site and any associated domains and sub-domains (hereinafter the "Site").
The General Terms and Conditions determine the rights and obligations of Unxpected and the Customer in the context of their conclusion and execution. These terms and conditions are available on the Site and will prevail, if necessary, over any other version or any other document.
Validation of the order by the Customer, who acknowledges, by ticking the appropriate box, that he/she has read and accepted these terms before finalizing the order, implies unreserved acceptance of these terms.
The content of each offer is detailed on the Site. The Customer also acknowledges that, prior to placing any order, he/she has received sufficient information and advice from Unxpected, enabling him/her to ensure that the package he/she selects meets his/her own needs. The Customer declares that he/she is of legal age and legally capable of entering into a contract, and declares that, where applicable, he/she validly represents the person on whose behalf he/she is entering into a contract. The Customer undertakes to ensure compliance with the GTS by all its employees, servants and agents. In the absence of proof to the contrary, the data recorded by the Site constitutes proof of all facts, acceptances and transactions.

Article 3 - Characteristics of the Service: Club

3.1 - the Club service :

UNXPECTED, a private club created to bring together Porsche enthusiasts who wish to meet influential Porsche ambassadors and to meet at exceptional events organized throughout the year in France and abroad. The UNXPECTED Club offers a handful of privileged members (and their guests) the opportunity to participate in exclusive and unique experiences. The program includes road trips to magical places, prestigious gastronomic dinners, private visits to Porsche collectors and major luxury houses, previews in the art world, etc. All these experiences are designed and thought out exclusively for the UNXPECTED Club. The most important thing is that these moments generate emotion, encounters, and are enriching for the members. Membership in the club is valid for one year and is subject to payment of the membership fee.

3.2 - club eligibility :

To become a member of UNXPECTED, you need to apply for membership, and/or be introduced by a "sponsor" who is already a member, and meet the following criteria: be a Porschist, represent a relevant network, and adhere to the Club's values. Note: a sponsorship does not guarantee membership.

Members will be carefully selected (sponsorship for membership and review of applications by the Board of Directors). The number of members will be limited to maintain the Club's selective and exclusive positioning.

UNXPECTED is a private club, with entry fees set annually and payable in a single instalment, and an annual membership fee of €600 incl. VAT/year, payable in a single instalment.

In the GCS, "Service" refers to all offers on the Site (pack, club, etc.) which are the subject of the Customer's order.
The Customer is informed that the Service may require access to other sites or platforms, designed and managed under the responsibility of third parties. Unxpected has no control over the content of these sites and declines all responsibility for their content and the use made by any third party of the information contained therein.
The products and services contained in the Service are offered and delivered within the limits of available quantities, it being understood that Unxpected may voluntarily limit the number of registrations to the Service.

Apart from reimbursement of the price of the unavailable product, no compensatioń for cancellation will be due by Unxpected.

Article 4 - Content of the Services

4.1 - club membership :

The price of the "club subscription" (hereinafter "UNXPECTED club") is fixed and definitive. The amount is determined on the Site at the time the order is placed. The price of the UNXPECTED club must be paid in full when the order is placed.

Duration, guarantee and updates - Unxpected guarantees that the UNXPECTED club will be accessible to the Customer for one year following the validation of his order, during which time the Customer will benefit from all the services offered by the Unxpected club and does not constitute an obligation. This commercial guarantee of access to the Club for one year applies only to the services included in the UNXPECTED club at the time of the Customer's purchase, and excludes any services included in new Unxpected offers past, present or future, which would be distinct from the UNXPECTED club purchased by the Customer. At the end of the year following the Customer's order, Unxpected reserves the right to terminate the Customer's access to the UNXPECTED club. At the end of one year, the Customer will have the option of continuing to benefit from the Club's services by subscribing, once again, to the Unxpected Club.

For subscriptions or all offers with tacit renewal, if the Customer is a consumer, the Company will send the Customer by e-mail, no earlier than three months and no later than one month before the renewal date, in an apparent box, the information that he may not renew the subscription and the deadline by which the Customer must inform the Company that he does not wish to renew the contract. If this information has not been sent, the consumer customer may terminate the contract free of charge at any time after the renewal date.

In accordance with the applicable regulations, we draw the attention of non-professional customers to the provisions of the Consumer Code as reproduced opposite:
- Article L. 215-1: "For contracts for the provision of services concluded for a fixed term with a tacit renewal clause, the professional service provider informs the consumer in writing, by letter or dedicated e-mail, no earlier than three months and no later than one month before the end of the period authorizing the rejection of renewal, of the possibility of not renewing the contract he has concluded with a tacit renewal clause. This information, delivered in clear, comprehensible terms, mentions the non-renewal deadline in a visible box.
Where this information has not been sent to the consumer in accordance with the provisions of the first paragraph, the consumer may terminate the contract free of charge at any time after the renewal date.
Advances made after the last renewal date or, in the case of open-ended contracts, after the date of conversion of the initial contract to a fixed-term contract, are in this case reimbursed within thirty days of the termination date, after deduction of sums corresponding, up to that date, to the performance of the contract.
The provisions of this article apply without prejudice to those which by law subject certain contracts to special rules regarding consumer information."
- Article L. 215-2: "The provisions of this chapter do not apply to operators of drinking water and wastewater services."
- Article L. 215-3: "The provisions of this chapter also apply to contracts concluded between professionals and non-professionals." - Article L. 241-3: "Where the professional has not made repayment in accordance with the conditions laid down in article L. 215-1, the sums due shall bear interest at the legal rate.".

These provisions do not apply to professional customers.

4.2 - participation in events :

An event is a tourist rally rallying each day to a specific location. It is open to any road Porsche whose eligibility list is available on request. The selection committee reserves the right to refuse any vehicle. Vehicles must comply in all respects with the Highway Code.

The events are tourist rallies organized in Europe by the company UNXPECTED SAS registered in the trade register under the number 913 302 154 R.C.S. Nanterre.

Any person wishing to register for an event will have to sign these terms and conditions, the online registration form, as well as the liability waiver, and return them to us by mail or email. A registration is confirmed as soon as UNXPECTED SAS receives the registration form, the signed annexes and the payment of the deposit. Payments are made to the order of UNXPECTED SAS. The client who has not paid the balance of the rally by the agreed date is considered to have cancelled the rally and will incur the cancellation fees provided for in the present conditions.

Article 5 - Online contract and access to the Service

It is essential that the Customer has adequate computer equipment to follow and/or have access to the Service documents, a laptop being sufficient. The Customer will have to follow a series of specific steps in order to place the order and register for the Service. After having read the essential characteristics of the Service and selected the formula best suited to his needs, the Customer indicates his contact information, accepts the GTC, waives his right of withdrawal, and reads the Site's Privacy Policy, after carefully reading the contractual documents at his disposal. The Customer must verify and correct any error concerning the information he/she provides, before validating the content of the order. The Customer then proceeds to the payment of the Service. The Customer will then receive confirmation by e-mail of the payment of the order, as well as an acknowledgement of receipt of the order. The Customer will receive a copy of the GTC or a link to download the GTC applicable on the day of the order or any other durable medium that the Customer is responsible for keeping. The delivery of the access codes to the Service is done by electronic means. In order to complete the order, the Customer agrees to provide true identification information to Unxpected. Unxpected reserves the right to refuse the order, for example, for any abnormal request, made in bad faith or for any legitimate reason, especially if there is a dispute with the Customer concerning the payment of a previous order. The Service is accessible only to individuals or entities authorized by Unxpected who have registered for the Service. Any use of Customer's access to the Service by an unauthorized person is the responsibility of Customer. Customer's access to the Service is made, for any User, according to the technical modalities and the schedule provided by Unxpected for the delivery of the modules. The identification code(s) is/are assigned by Unxpected upon subscription to the Service. Each identification/access code is strictly personal, individual, confidential and non-transferable. Customer shall be liable for any unauthorized, fraudulent or abusive use of its codes. Customer shall promptly notify Unxpected of lost or stolen access keys. In the event of a breach of the access keys, Unxpected reserves the right to suspend the Service, without compensation, notice or prior notification. Unless otherwise stated on the order page and in the order confirmation email, access rights to the Service are granted for a minimum of twelve months from the opening of the access keys to the Service, and until the termination of the Customer's subscription for any reason.

Article 6 - Guarantees

Unxpected agrees to make every effort to provide the Service during the period agreed upon in the order, except for any possible failure or technical constraints related to the specifics of the Internet network or third party solutions used, for which Unxpected shall not be held responsible. In the event of a problem or malfunction on an online platform necessary for the delivery of the Service, Unxpected will endeavor to provide the Service on a platform or by any equivalent means with similar functionality. Customer may use the Service modules and services within the limits of reasonable use. Customer agrees to notify Unxpected within 24 hours of discovery of a technical malfunction. In the event of a service interruption by Unxpected related to a corrective maintenance intervention, Unxpected will make every effort to remedy the malfunction within a reasonable time. Nevertheless, the security and integrity of Internet communications cannot be guaranteed. Unxpected disclaims any responsibility for the consequences of technical failures of the Site or in connection with it, including any difficulty in accessing the Service platform. The delivery of the Service complies with the regulations in force in the European Union and the content of the Service refers to French law. The responsibility of Unxpected cannot be engaged in case of non respect of the legislation of the country in which the Service is available on Internet, which it is up to the Customer to verify.
